Terms & Conditions
This Vendor Agreement (this "Agreement") is entered into by and between Friends & Family Flea ("Friends & Family Flea," "we," "us," or "our") and the undersigned applicant ("Vendor," "you," or "your") and sets out the terms and conditions governing Vendor's application to, and participation in, any Friends & Family Flea pop-up, makers' market, or related event (each, an "Event"). By submitting a vendor application, checking the acceptance box, or participating in an Event, Vendor acknowledges that it has read, understands, and agrees to be bound by this Agreement, as well as any Event-specific rules, schedules, or directives communicated by Friends & Family Flea via email.
1. Application & Acceptance
Submitting an application does not guarantee a spot. Friends & Family Flea is a curated marketplace, and each Event is juried by our team. Applications are reviewed and accepted on a rolling basis. Vendor will be notified of acceptance, waitlist status, or non-selection by email. A separate application is required for each Event, even for vendors who have participated in prior Friends & Family Flea events. If Vendor is not selected, Vendor may contact hey@friendsandfamilyflea.comto request feedback on its application.
2. Eligibility & Curatorial Standards
Each Event's vendor mix is curated to reflect this mission and to maintain a balanced, high-quality selection of goods. Vendor represents that the products it intends to sell are accurately described in its application, including all photos, descriptions, and pricing. To maintain a balanced market, Friends & Family Flea may limit the number of vendors per product category (e.g., ceramics, jewelry, stationery, beauty, food) at its sole discretion. Certain categories may be excluded from a specific Event due to venue or sponsor exclusivity arrangements (for example, a tenant exclusivity may preclude certain food or beverage categories). Vendor will be notified if this affects its application. Any new products the Vendor wishes to sell at an Event must fall within the categories and descriptions submitted in its application. Material changes to the Vendor's product line require advance written approval from Friends & Family Flea.
3. Fees & Payment
A non-refundable registration fee of $175 per Event is due upon submission or upon acceptance, as specified in the applicable Event's application. This fee covers the assigned space only; Friends & Family Flea does not provide tables, tents, chairs, equipment, or any other setup materials, as described in Section 4. Vendor is responsible for this fee even if Vendor later withdraws or does not attend. All fees are quoted and payable in U.S. dollars via the payment method specified on the application platform. Except as expressly provided in Section 9 (Refund Policy), deposits and fees are non-refundable, including in the event of low attendance, inclement weather (where the Event proceeds as scheduled), or Vendor's voluntary withdrawal.
4. Space Assignments & Vendor-Supplied Setup
Space provided. Vendor is assigned an empty, unimproved space of approximately 10 feet by 10 feet. Friends & Family Flea provides the space only. No table, tablecloth, chair, tent, canopy, umbrella, weights, lighting, power, signage, shelving, or other equipment is provided. Vendor is solely responsible for supplying, transporting, assembling, and removing everything it needs to merchandise and operate its space.
Assignment. Friends & Family Flea reserves the right to assign and reassign Vendor's space within the Event as it deems appropriate. Friends & Family Flea does not guarantee specific spot requests and cannot guarantee that an assigned space will be free of structural, architectural, or sightline obstructions, or that the ground surface will be level, paved, or uniform.
Staying within the footprint. All of Vendor's setup — including tent legs and guy lines, tables, racks, displays, signage, inventory, storage bins, packaging, trash, and staff — must remain entirely within Vendor's assigned 10' x 10' footprint. Aisles, walkways, fire lanes, entrances, and neighboring spaces must remain clear at all times. Vendor may not expand beyond its footprint without prior written approval from Friends & Family Flea.
Tents & canopies. If Vendor brings a tent or canopy, it must be freestanding, in good condition, and secured at all times with a minimum of 25 pounds of weight per leg. Staking, drilling, taping, or otherwise anchoring into pavement, turf, walls, or any venue surface is prohibited unless expressly authorized in writing by Friends & Family Flea or the venue. Friends & Family Flea may require Vendor to take down an unweighted or improperly secured canopy, or may take it down itself, at Vendor's risk and without refund.
Utilities & permits. Vendors requiring electricity, water, generators, propane, or any health department permitting for their space are responsible for coordinating and paying for these arrangements directly with the venue or relevant third party, and for obtaining Friends & Family Flea's approval in advance.
Transfers. Vendor may not sublet, share, or transfer its assigned space to another individual or business without Friends & Family Flea's prior written consent.
Condition of the space. Vendor will leave its space in the condition in which it was found, remove all of its property and trash at load-out, and is responsible for any damage to the venue or grounds caused by Vendor, its staff, or its equipment.
5. Vendor Conduct & Event Standards
Vendor and its staff, employees, and representatives agree to act professionally and courteously toward attendees, fellow vendors, venue staff, and Friends & Family Flea team members at all times. Vendor agrees to read, follow, and abide by all Event-day rules, load-in/load-out schedules, and directives communicated by Friends & Family Flea, including those sent by email to the address provided on Vendor's application. Friends & Family Flea reserves the right, in its sole judgment, to decline, prohibit, or remove any Vendor, product, display, structure, or conduct that is out of keeping with the character and mission of the Event, or that endangers the venue, attendees, other vendors, or any third party. No refund will be issued in connection with such removal. Vendor's space remains staffed by Vendor (or its authorized representative) for the full duration of the Event, including published setup and breakdown windows. Vendor may not break down or vacate its space before the published end of the Event.
6. Legal Compliance
Vendor is solely responsible for obtaining and maintaining any business licenses, seller's permits, health permits (including cottage-food certification where applicable), and any other approvals required to sell its goods at the Event. Vendor will comply with all applicable federal, state, and local laws, rules, and regulations relating to its products and Event activities, including those governing labeling, food handling, product safety, and intellectual property. Friends & Family Flea assumes no liability for, and offers no guidance regarding, the specific laws or regulations applicable to Vendor's goods or services.
7. Insurance & Indemnification
Vendor agrees to indemnify, defend, and hold harmless Friends & Family Flea and its officers, employees, contractors, affiliates, and the venue (collectively, "F&F Parties") from and against any and all claims, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or related to Vendor's products, acts, omissions, equipment, tent or canopy, or participation in the Event, including any breach of this Agreement or violation of applicable law.
8. Cancellation & Inclement Weather
All application fees, deposits, and space fees are non-refundable once paid, except as set out in Section 9 (Refund Policy). Late cancellations and no-shows may affect Vendor's standing for future Friends & Family Flea events. Outdoor Events are held rain or shine unless Friends & Family Flea cancels the Event due to safety concerns. Vendor is responsible for weatherproofing its own space, products, and equipment. Friends & Family Flea does not guarantee any particular level of attendance and is not responsible for the impact of weather, venue conditions, or attendance on the Vendor's sales.
9. Refund Policy
This Section 9 governs all refund requests and controls in the event of any inconsistency with Sections 3 or 8. Non-refundable circumstances. Registration fees, deposits, and space fees are non-refundable, in whole or in part, where the request arises from any of the following:
Change of mind. Vendor no longer wishes to participate.
Scheduling conflict. Vendor has a competing commitment, event, or personal obligation on the Event date.
Accidental registration. Vendor registered for an Event in error, registered for the wrong Event, or did not intend to complete the application.
Vendor can no longer participate. Vendor is unable to attend for any reason, including illness, travel, staffing, or transportation issues.
Vendor's business circumstances change. Including closure, pause, rebranding, relocation, change in product line, inventory shortfall, or financial hardship.
Vendor lacks the necessary setup. Vendor does not have, cannot transport, or chooses not to bring the table, tent, weights, displays, or other equipment required to operate its space.
In each of the above cases, Vendor remains responsible for the full fee even if Vendor withdraws in advance or does not attend, and no credit toward a future Event will be issued.
Refundable circumstances. Friends & Family Flea will refund fees paid in the following circumstances:
Organizer error. Friends & Family Flea charged an incorrect amount, billed Vendor for the wrong Event, or processed a registration in error.
Market cancellation by us. Friends & Family Flea cancels the Event in its entirety. Vendor will receive a full refund of fees paid or, at Vendor's election, a credit toward a future Event. Where the cancellation results from a Force Majeure Event, Section 13 applies.
Material change to the Event that substantially affects Vendor's participation. Including a change to the Event date, a change to the city or venue, a substantial reduction in Event hours, a material reduction in the size of Vendor's assigned space, or the exclusion of Vendor's product category after acceptance. Vendor must notify Friends & Family Flea of its intent to withdraw and request a refund within [X] days of Friends & Family Flea's notice of the change; a Vendor who participates in the modified Event is deemed to have accepted the change.
Requesting a refund. Vendor should email hey@friendsandfamilyflea.com with its business name, the applicable Event, and the date and amount of payment. Approved refunds are issued to the original payment method within 7 business days of approval. Nothing in this Section entitles Vendor to a refund where Vendor is removed from or denied participation in an Event under Section 5 (Vendor Conduct & Event Standards) or Section 10 (Termination).
10. Termination
Termination for Convenience: This Agreement, and Vendor's participation in a given Event, may be terminated by Friends & Family Flea at any time, with or without cause, upon notice to Vendor. Termination for Default: Either party may terminate this Agreement immediately upon notice to the other party in the event of a material breach or default of any term of this Agreement by the other party. Upon termination, Vendor forfeits any fees paid and must promptly vacate its assigned space, removing all of its property and equipment, if termination occurs on-site.
11. Marketing, Photography & Use of Likeness
Vendor grants Friends & Family Flea a royalty-free, worldwide license to photograph, film, and otherwise capture Vendor's space, products, and staff at the Event, and to use Vendor's business name, logo, product images, and event photography in Friends & Family Flea's marketing, social media, press, and promotional materials, both online and in print. Friends & Family Flea may also feature Vendor in pre- and post-Event vendor highlights.
12. Limitation of Liability
Friends & Family Flea is not responsible for any loss, theft, or damage to Vendor's products, equipment, tents, canopies, displays, or personal property before, during, or after the Event, including damage caused by wind, rain, or other weather conditions. Vendor participates at its own risk and is responsible for securing its own setup. Friends & Family Flea makes no representation or guarantee regarding the level of attendance, foot traffic, or sales Vendor may achieve at any Event.
13. Force Majeure
Neither party will be liable for any failure or delay in performance under this Agreement resulting from causes beyond its reasonable control, including acts of God, natural disaster, fire, government order, public health emergency, labor dispute, or venue unavailability. If an Event is canceled due to such causes, Friends & Family Flea will determine, in its discretion, whether and to what extent any fees may be credited toward a future Event or refunded.
14. General Provisions
Entire Agreement: This Agreement, together with any Event-specific rules, memos, or directives provided to Vendor, constitutes the entire agreement between the parties regarding Vendor's participation in the Event, and supersedes all prior discussions or understandings on the subject. Amendments: Friends & Family Flea may update or modify the terms of this Agreement from time to time. Material changes will be communicated to Vendor via email at the address provided on its application. Severability: If any provision of this Agreement is found unlawful or unenforceable, that provision will be severed and the remainder of the Agreement will remain in full force and effect. No Waiver: Any delay or failure by Friends & Family Flea to exercise a right under this Agreement is not a waiver of that right. Non-Exclusivity: This Agreement is non-exclusive. Friends & Family Flea may contract with other vendors, including those offering similar products, at its discretion.
Governing Law: This Agreement is governed by the laws of the State in which the Event is held, without regard to conflict-of-law principles.
